Harassment Terms

1. This agreement is between you and us, Employment Law Services Limited of Chequers House, Chequers Lane, Watford, Hertfordshire WD25 0LG.

The Service

2. We will license the use of two pre-pack seminars on harassment to you, consisting of a lecture handout, speaker notes, powerpoint slides, case studies, a risk assessment and a bullying & harassment policy (‘the materials’). The first seminar is for lawyers to deliver to HR Professionals. The second seminar is for HR Professionals (or lawyers) to deliver to members of the workforce.


Copyright and Intellectual Property

3. Save as set out in clause 7, copyright in the materials belongs to, and remains with us. You are granted a licence to use the materials, subject to your compliance with the remaining terms of this agreement.

4. Your licence allows you to use of the materials for educational purposes only, in particular for presenting a seminar or lecture on harassment.

5. You may not do the following with the materials:-
(a) re-sell them, or charge for providing them (other than charging a reasonable fee for attendance at a seminar);
(b) make them publicly available via your firm’s website, or otherwise on the internet (including YouTube or other social media sites). You may make them available on your firm’s website provided they are visible only to existing clients within a password protected area;
(c) place a copyright symbol on them or otherwise claim ownership or authorship of them, or make any other claims to the intellectual property therein, except as described in clause 6 below.

6. You are at liberty to hold yourself out on copies of the materials as their producer by referring to the seminar as being presented by you, for example: ‘A seminar on harassment by [you]’, by placing your name prominently on the materials, or other such indications which are consistent with promoting your organisation.

7. Copyright in the images contained in powerpoint slides belongs to the photographers or other third parties. We possess a licence to reproduce those photographs in the powerpoint slides.


Payment

8. If we invoice you, payment is due within 28 days of invoice and interest accrues on any unpaid debt at 4% above Barclays Bank plc’s base rate.

Materials

9. The materials are provided digitally, by providing you with a download link.


Money Back Guarantee

10. You are entitled to request your money back by emailing meg.mcdonald@emplawservices.co.uk within 365 days of purchase. We will refund any monies paid within 14 days of your request.
11. If you exercise your right under this money back guarantee, and thereafter use the materials (or use any part of them, subject to the de minimis rule), you (a) must inform us immediately and (b) become liable to repay the full purchase price originally agreed.


Limitation of liability

12. The materials give a detailed overview of the law as at September 2024, and incorporate the prospective changes to sexual harassment law coming on 26 October 2024. But they do not amount to legal advice. Any liability for negligence, breach of contract or anything else arising from the materials is limited to twice the fee you paid to purchase them.
13. We are prepared to waive clause 12, and accept liability for foreseeable consequential losses, if (a) you ask us in advance of purchase; (b) you pay an additional £400+VAT as a fee for us to take the additional risk; and (c) we agree in writing to accept that risk.


Miscellaneous

14. This agreement is governed by the laws of England and Wales. Any notice should be served on us at our registered office: Chequers House, Chequers Lane, Watford WD25 0LG. Replying to system generated emails which go to a ‘no-reply’ email address does not count as valid notice for any purpose under this agreement.
